Intellectual Property Assignment

This Assignment is effective as of Month Day, Year and is between the following parties:

(the “Assignee”)

1. Intellectual Property

“Intellectual Property” means all ideas, discoveries, inventions, formulas, algorithms, software code, techniques, processes, know-how, trade secrets and other intellectual property relating to [OPTIONAL: , including the items specified in Schedule A], whether or not the intellectual property can be protected by copyright, patent, industrial design, trademark or other similar legal protection (collectively, “Legal Protection”). To avoid any doubt, Intellectual Property includes

(a)

all rights in any applications and granted registrations for any Legal Protection,

(b)

all expressions of any of the Intellectual Property in tangible form, and

(c)

all modifications, enhancements and derivative works of any of the Intellectual Property.

2. Assignment.

The Assignor hereby assigns to the Assignee all rights, title and interest worldwide the Assignor may have now or have in the future in the Intellectual Property.

3. Moral Rights.

The Assignor hereby waives its moral rights in the Intellectual Property.

4. Payment.

The Assignee will pay the Assignor $10.

5. Cooperation.

If requested by the Assignee, the Assignor agrees to assist the Assignee in any proceeding necessary to protect and preserve the Intellectual Property. The Assignor also agrees to sign any applications or other documents the Assigneemay reasonably request:

(a)

to obtain or maintain patent, copyright, industrial design, trade-mark or other similar protection for the Intellectual Property, and

(b)

to confirm the Assignee’s ownership of the Intellectual Property. The Assignee will pay for all expenses associated with the Assignor’s assistance and the preparation and filing of documents.

6. Entire Agreement.

This Assignment contains the whole agreement between the Assignor and the Assignee related to the Intellectual Property, and there are no warranties, representations, terms, conditions or collateral agreements – express, implied or statutory – other than as expressly set out in this Assignment.

7. Governing Law.

This Assignment will be governed by the laws in effect in Jurisdiction.
